Not only do companies spend a majority of their money on advertising, they also use their employees as portable posters. Discrimination is defined as showing favor unjustly. What some corporations are doing today is clearly unjust. That is why I disagree with Mr. Cohenââ¬â¢s analysis. It is a known fact that one cannot sell everything by appearance alone. Mr. Cohen is a senior industry analyst with the NPD Group, a market research firm. He said, ââ¬Å"Retailers defend the approach to hiring based on image as necessary and smart, and the industry experts see the point. I thought that people were supposed to be hired based on their ability. In fact, Stephen J. Roppolo, a New Orleans lawyer who represents many hotels and restaurants, said ââ¬Å"I tell employers that their main focus needs to be hiring somebody who can g et the job done. â⬠Hiring for looks must be fairly risky from a legal standpoint because even lawyers that represent the businesses are saying that they should hire based on merit so that they do not get into trouble with the law. I have seen some first hand examples of questionable hiring practices.Many of the restaurants near my home are excellent examples of hiring based on appearance. At the restaurants, I have noticed that the servers are usually Caucasian and that the bus-boys and chefs tend to be Mexican-Americans. I have also noticed that the Chinese restaurants in my area only have Asian-Americans as waiters and waitresses. I thought that America was on the way to becoming a place full of equal opportunity. Apparently, we are taking a step back, instead of moving forward. Is hiring based on how attractive people are illegal?No, there is not a specific law saying that businesses cannot. Just because it is not illegal does not mean that it should be done. I feel that Mr . Cohenââ¬â¢s analysis is not correct. If a company had an extremely innovative and sought after product due to its wide range of uses and quality, the company would not need to stoop to such discriminatory hiring practices. The product would simply sell itself. After all, every company would love to get by without spending one dime on advertising. Perhaps a hard working, well-kept, person was turned away from a job because of his or her un-attractive face, that person could be so hurt that they commit suicide; while one person gets richer because of this life changing decision they made, another personââ¬â¢s sanity is lost.This type of discrimination is not worth the pain and suffering of one human being in return for fame and money. The female characters in Great Expectations have the greatest influence on Pip’s development
While it may be true to argue that the female characters of Great Expectations have the most detrimental effect on Pip, it would certainly not be accurate to portray them as having had the greatest influence on his development. Although, the tyrannical Mrs Joe, the embittered Miss Havisham and Pip's ââ¬Ëbeloved' Estella have a large hand in shaping Pip's moral decline, it is without doubt Magwitch and of course, the moral cornerstone of the book, Joe who have the most profound effect on him. As well as this there are the minor male characters of the book such as Wemmick (in his Walworth capacity) and to a lesser extent Jaggers, and their part in restoring Pip to decency. Having said this, it must be acknowledged that in his childhood years it is in fact Mrs Joe who has the most immense influence on Pip's development. Her highly unfavourable ââ¬Å"bring him up by hand,â⬠regime destroys his self-worth, forcing him to develop a real sense of self-resentment. Hear that, be grateful to those who brought you up by hand,â⬠is a deeply ironic statement, for it is Mrs Joe he owes least gratitude to, considering the negative impact she has on Pip's young life. The physical and verbal abuse she expels on him leads to a lack of adequate love and affirmation. ââ¬Å"I'm a common labouring boy, my hands are coarse and my boots are thickâ⬠¦ generally I'm in a low lived bad way,â⬠is a bleak outlook that comes from a young boy who has had his self-worth quashed unde r his sister's tyranny. It is of course this lack of self-esteem which is most harmful to Pip's development, forcing him to create the fantasy of reinvention that ultimately leads to his moral decline. However, we cannot forget that regardless of Mrs Joe's predominant influence, Joe, Pip's friend and father figure, is, to an extent, able to have a positive impact on Pip. Primarily, he is able to provide him with what little affirmation possible in such a cold household, establishing a solid friendship with his fellow sufferer, ââ¬Å"We are ever the best of friends ain't us Pip? Furthermore, in terms of moral development, this ââ¬Å"gentle Christian manâ⬠is able to instate in Pip the foundations of the values which he must ultimately return to in the peak of his moral decline. Joe the moral mentor, encourages Pip to develop the same goodness he himself possess, by teaching him number of vital lessons such as compassion through the quote ââ¬Å"We don't know what it is you have done, but we wouldn't have you starve to death for it, poor fellow miserable creatur, ââ¬â would us. ââ¬Ë and the importance of honesty through ââ¬Å"(telling lies) ain't the way to get out of being common. Hence Joe is able to have some effect on Pip in his childhood years. Once exposed to the world of Satis house it is the influence of Miss Havisham and Estella that largely occupies his life during the ââ¬Ëexpectation' years. We see the manner in which Miss Havisham plays further on his lack of self-worth, using Estella to belittle him and ââ¬Å"break his heartâ⬠; ââ¬Å"He's a coarse and common labouring boy. â⬠This lack of self-worth combines with the glamour of their lifestyle which mesmerizes Pip and leads him to create the fantasy of reinvention. It is the initial meeting at Satis house, therefore, that consequently sees Pip commence his deluded journey in the pursuit of false ideals. Estella also becomes a major contributor to this fantasy, as Pip is naively led on by her and is blinded by her beauty, failing to realize what truly lies beneath. Thus it could be said that Miss Havisham and Estella have a large part in negatively influencing Pip and fuelling his desire to become a ââ¬Ëgentleman'. In contrast, we see that it is the male character Magwitch who initiates the moral redemption in Pip. Although initially Pip holds him with abhorrent disgust, as time moves on he is forced to under go a major reality check in assessing his idle and wasteful lifestyle. Magwitch is able to extract from Pip the core values he exhibited in his childhood years, in particular the quality of compassion. Towards the end of their relationship we have the declaration from Pip ââ¬Å"May I be as true to you as you have been to me. â⬠indicating the profound effect this common convict has had in returning Pip from the pretentious prig to the morally decent character we are able to respect. Wemmick and to a much lesser extent Jaggers are also able to provide examples of this compassion which help Pip towards his return to decency. During his reality check Pip is also provided with the unselfishness of Wemmick in his Walworth capacity. His caring of the age and the simple idealistic life he leads Pip to open his eyes to true gentility. In a much more ambiguous way we have Jaggers. The revelation of his secretive rescue of Estella from the criminal milieu provides Pip with a compassionate side of Jaggers not revealed before. These examples dramatically influence his development, encouraging his shift back to integrity. However, it is once more Joe who is able to most profoundly influence Pip, completing his moral redemption and providing him with the model of selflessness and compassion. Pip suffers from a mystery illness which is highly symbolic of a phase of personal disassembly, in which he questions himself and rebuilds his character. It is Joe who appears as the saviour, nursing him back to health and in the process teaching Pip that true gentility comes only with qualities such as humility, honesty and most importantly the ability to love and be loved. God bless this gentle Christian man,â⬠is a defining moment in Pip's development as he is finally able to recognise Joe's nobility. Thus without doubt we are left to see that it is the male character Joe who has the most intense influence on Pip's character. It is clear to see therefore that it is instead although the female characters do have quite a detrimental effect on Pip's development, it is instead the male characters and lead by Joe who have the greatest influence. In particular these male characters have quite a substantial hand in helping Pip re-establish his moral decency and hence redeem himself in the eyes of the reader.

Under section 180(2), there is a defence that the decision was a proper one under the circumstances, even though the decision later turns out to be not so good for the corporation. What is the criteria that a director needs to satisfy under section 180(2) in order to establish this defence? Do you think that section 180(2) does a good job in protecting directors in making business decisions? Does it need to protect directors better? Answer: Discussion on section 180(2) of Corporation Act 2001 (Cth) The Section 180 under the Corporation Act 2001 suggests that the directors of any company must exercise their duties with required care and diligence in order to meet the purpose of the company in best possible way. At the same time, the section 180(1) in the Corporation Act 2001 (Cth) states that the directors of the companies must conduct their duties with proper care and diligence and by considering responsibilities of the directors and the size of the organization or company. However, on the other side, the 180(2) under the same act that is Corporation Act 2001 states about the defence that the decision or actions of the directors must be proper under the particular circumstances, however, it may happen that the actions taken by the directors will not provide such advantage to the company in future.[5] However, this defence under section 180(2) of Corporation Act 2001 (Cth) can be established only if the following criteria are met. The criteria are stated as under: The first criterion is the director must take the decision or action in order to fulfill some good reason or for an appropriate reason that will serve the company a good result in that specific circumstance. The second criterion is that the director of the company must not have any personal interest on that action or decision. The director of the company who has made the decision or taken the action must inform about the main subject matter behind the particular decision or action. The subject matter must be appropriate or proper to be believed. The last criterion is that the decision or action taken by the director must provide the best interest to the company or organization. Therefore, these are the criteria that the director of a company must satisfy in order to appeal for this defence under section 180(2) of Corporation Act 2001 (Cth). As per the above discussion and as per the section 180(2) under the Corporation act 2001 (Cth) it can be said that the section 180(2) can protect the directors of the company at the time of taking decision for the business. This particular section of the Corporation Act 2001 (Cth) provides such a guideline that shows the right path to the directors of the company. The section 180(2) states how the directors must take their decisions. This means the section talks about the factors or situations that the directors must consider at the time of taking the decision. At the same time, the section also states that if the directors fail to maintain the guidelines then the directors will be penalized by the court. The section 180(2) of the Corporation Act 2001 (Cth) states that the director of the company must consider the goodness of the company and must not consider his or her personal interest. If the director of a company takes any decision as per this particular act or this particular section of the Corporation Act 2001 (Cth), then there are more chances of taking decision in order to achieve best interest of the company as per the particular situation in which the decision is being taken. On the other side, if the director takes the decision to increase the value of the organization or company then there are more possibilities for the personal growth of the director also. This means the Section 180(2) under the Corporation Act 2001 (Cth) guides the directors of the company in achieving their personal growth by fulfilling the companys interests in best possible manner. Need for expanding defenses available under Section 180(2) Under Section 180(2) the defenses are available to a director under the following circumstances: The directors have acted with a bona fide intention and for a proper purpose; They have no material interest in the judgment which they have made The judgment should be rational They have made the judgment keeping in mind the best interests of the Corporation. Under the present regulatory regime the defenses are narrow and it is difficult for directors to explain or defend a short term risk which they take in response to the rapid changes in the market. The test laid down under Section 180(2) is an objective test which requires rationalization of judgments made by the Directors. This will put Directors in great difficulty who tend to take huge risk. Many persons who are eligible and who have an innovative mind and who are prone to take risks, as a result, hesitate to become a Director. The defenses available under Section 180(2) are not of much use and there is necessity of a more wide and broad defense provision which would allow the directors to take vibrant risks and which would allow the economy to prosper and grow in the light of brave steps taken by the Directors. [6] Conclusion During this study it has been identified that there are different types of legal structures available to a business organization. The discussion in the question 1 of the study has identified that the business of Denise and Freda is a partnership business and the present poor financial situation of the company can be improved if the partners of the company convert the structure of the company into a limited company. The study has also found out how a non executive director and a minor shareholder can protect himself or herself from any unethical decision taken by the directors of the company. In the answer of question 2, it has been identified that the directors of The Best Coffee Limited have breached their duties and have not shown proper care and diligences in their activities. In question 3, the study has stated about the rights that Rick can apply by using the sections 232, 181 and 182 of Corporation Act 2001.
